Responsibilities:
- Give accurate and timely counsel to executives in a variety of legal topics (labor law, partnerships, corporate finance etc.)
- Preparation of the agreement drafts of various commercial Agreements, Lease Deed, Leave & License Agreements, Managed office Spaces, Supplementary Agreements, Amendment Agreements, Revenue Share Agreement, Renewal Agreement, Settlement Deeds and Membership Agreements etc.
- Will be responsible for structuring & conduct due diligence – LOI, lease/ L&L/ management services agreement/marketing agreement, negotiate & finalize the draft agreements & coordinate registration of lease deeds.
- Negotiations with various parties/ their counsel, if required, to ensure the compliance of all the legal standards and organizational policies/mandates.
- Drafting Ancillary Documents such as Legal Notices & responses, Termination notices, Letters & other correspondences.
- Support the HR function with labor law compliance and periodic filings.
- Apply effective risk management techniques and offer proactive advice on possible legal issues.
- Support dispute resolution by providing talking points to the business team, formulating a settlement plan, engaging in negotiations with the owners of the assets, and drafting and finalising a settlement agreement.
- Pre-litigation tasks include drafting legal notices, responding to received notices, and coordinating with the litigation team and outside counsel on the litigation’s specific issues.
- Communicate and negotiate with external parties (regulators, external counsel, public authority etc.), creating relations of trust.
- Independently creating and handling the documents to keep track of all leases and related documents.
- Research related to contract laws, arbitration laws, privacy rights, real estate law, labor law and related matters and circulating notes on key developments impacting business to keep the team abreast of all relevant information.
- Review and advising on SHA, SPA and similar M&A documents.
- Undertaking compliance related advisory.
