Job Description for Legal Counsel (M&A)
Duties/Responsibilities:
- Advice on corporate M&A transactions including acquisitions (whether by share purchase or business transfers), cross border mergers or amalgamations as well as joint ventures involving third parties with FDI.
- Manage the transaction cycle end-to-end, draft and comment on transaction documents, legal due diligence, leading/supporting legal negotiations, signing and closing as well as managing post-closing matters related to a transaction.
- Advice on a broad range of general corporate matters including compliance with FDI Policy, FEMA, NDI Rules, ABAC/AML laws, etc.
- Draft and negotiate general commercial contracts and provide general corporate advisory.
- Advice to cross-functional groups in connection with deal execution.
- Manage external advisors across jurisdictions that support the M&A legal team with the transactions.
Requirements:
- Experienced with debt and equity fundraising and buyer-side M&A.
- Excellent communication skills. Ability to condense and convey complicated issues clearly and succinctly.
- Ability to work collaboratively and effectively in a fast-paced environment with a diverse pool of internal stakeholders in particular the Investments, Finance, Growth, and Treasury teams.
- Exceptional analytical and organizational skills, including the ability to manage complex assignments and timelines, exercising sound judgment and decision-making in prioritization of multiple deadlines.
Experience:
- LLB degree from a reputed institution.
- 2 to 4 years of experience as M&A Counsel in a leading law firm and/or in-house legal team.
