Role Responsibilities:
Moody’s has an immediate opening for an experienced technology procurement contracts attorney to fill a newly created position within the Technology Law Group of Moody’s Legal Department.
This position is based out of Moody’s offices located in Gurgaon, India (Remote/hybrid optional). The Senior Counsel position works with internal business clients across all segments of the Company and in all jurisdictions where Moody’s operates. Expertise with US/EMEA-based multinational procurement contracts is required.
Reporting to the Assistant General Counsel (Hong Kong), the successful candidate will be responsible for drafting and negotiating a high volume of global procurement contracts, while ensuring that all contracts adhere to Moody’s legal and compliance policies. The successful candidate will lead contract negotiations with vendors for goods and services, including software, hardware, professional services, events and a variety of other general procurement contracts.
The Senior Counsel may also assist with M&A due diligence from an IP and technology contracts perspective.Working with procurement managers and the business leads, identify options for mitigating risk and ensuring the business needs are appropriately addressed. Experience with Privacy Law as it relates to data security requirements included in procurement contracts is desired. Ability to manage multiple transactions at once, meet deadlines and take responsibility for prioritizing and completing assigned tasks is required.
Basic job duties:
- Draft and negotiate a wide variety of agreements touching upon IP, ranging from software and professional services agreements to trademark licenses, conference sponsorship agreements and other vendor and intercompany agreements as needed
- Advise various business lines and business functions on diverse questions, issues and proposals that involve intellectual property, including online data acquisition and distribution
- Assist with centralizing management/ownership of various intercompany agreements involving IP licenses across the Moody’s enterprise
- Assist with all phases of M&A transactions, from due diligence, review of transaction documents, to post-closing integration
Qualifications:
- 15+ years of legal experience drafting and negotiating procurement contracts for US/EMEA-based multi-national company(ies)
- Graduate of a top law school, licensed and in good standing
- Responsive, with excellent communication skills, both verbal and written, including the ability to successfully interact with, and provide clear and practical guidance to business partners
- Prior work experience in Financial Services or other regulated industry is preferred
- Ability to manage a high volume of work and deadlines with flexibility, while adapting to changing priorities
- Highly attentive to details, with sensitivity to awareness of risk (compliance and regulatory), controls implications and knowledgeable of corporate governance considerations
