Job Detail:
Hitachi Energy Grid Integration Business has an opening for a Lead Legal Counsel as part of South Asia Legal & Integrity team. You will be responsible for leading a team of three lawyers and implementing the unit’s global strategy within the area of legal affairs. At the same time, you will provide professional advice on a broad range of legal and integrity issues relating to the Grid Integration business line particularly with regard to high value complex tenders and projects (HVDC Interconnector, offshore wind projects, substations and FACTS), the aim being to ensure full compliance with Group directives and instructions as well as local statutory provisions.

Qualifications:
- Ideally 12+ years of experience as in-house legal counsel or in legal practice relating to grid system or major utilities construction/ engineering projects in Asia with a successful track record of handling complex international corporate and commercial transactions as well as significant claims and litigations.
- Degree in Law from a leading university in India and qualified to practice law in India or equivalent from Common Law Jurisdiction. Masters in law will be an added advantage
- Experience working within an engineering/construction industry.
- Knowledge of engineering/construction industry contracting practices, applicable government and commercial regulations and practices, working knowledge of FIDIC.
- Demonstrable negotiating skills and expertise in drafting contractual and settlement agreements. Strong leadership, Business-minded and solution oriented. Well-developed communication and interpersonal skills including team spirit as well as the ability to influence at all levels.

Responsibilities:
- Leading a team of three lawyers located in India.
- Provides expert legal advice and counsel over a broad range of issues affecting the business, especially for tenders and projects under execution within the portfolio of extremely complex power infrastructure projects.
- Act as a Legal Advisor to the Country Head of Legal as well as Hub/ Region / Cluster relating to Grid Integration Business.
- Identifies legal issues of concern to the business and proactively develops effective legal strategies, mitigation actions and practical solutions in support of business activities.
- Contributes to the review of Request for Quotations and input to Pre-Qualification Questionnaire, tender preparation, risks identification, risk review, negotiations of contracts, framework agreements, partnerships, settlements, etc. all in coordination with key internal stakeholders.
- Supports contract managers and project teams during project execution including claims to and from customers and subcontractors.
- Support Local Business Unit Managers in the implementation of the group’s policies and provide advice and guidance on all contractual matters arising from sales and projects;
- Ensure personnel training on legal and integrity topics such as but not limited to contract, integrity, antitrust including all training rolled out by the group; Promotes dispute avoidance, strategies, manages disputes and litigations both potential, and ongoing liaising, where necessary, with external law firms. Manage efficiently, external counsels and operate within allocated budget. Initiate actions for arbitration and litigation where necessary and provide documentation and witnesses; Optimize the costs of external legal costs by handling all legal advice/opinions needed by the businesses and negotiating external lawyers’ fees in cases where outsourcing is needed;
- Meet with customers, where required on legal and/or integrity matters. Negotiation of frame agreements and other contractual terms in collaboration with relevant business managers to achieve best commercial outcome for the organization.
- Anticipate and identify legal issues of concern to management and proactively develop effective legal strategies and practical solutions.
- Monitor legal affairs, including but not limited to litigations and activity reports.
- Monitors Intellectual Property, taking advice and guidance as required from colleagues within the IP function. Ensure good corporate governance in assigned area of accountability, support on regulatory and anti-trust issues, support implementation of the Code of Conduct and assist with investigation and resolution of integrity-related issues. Support Country Integrity Officer in integrity matters, and integrity training of Hitachi Energy employees.
- Contributes to the development of Group directives/instructions based on local legislation, assist with implementation of legal and integrity directives/instructions.
- Manage and liaise with, external service providers, including external legal counsel.
- Ensures the area of responsibility is properly organized, staffed with adequate internal approvals, skilled and directed.
