Lead (Legal)
Qualifications:
- JD / LLB or LLM from a premier institute/college.
- 5+ years of experience with contracts/commercial transactions in a corporate legal department and/or law firm within an international environment; in-house corporate legal department experience preferred.
- Impeccable integrity.
- A passion for contributing to a world-class team providing unsurpassed customer service to both internal and external customers.
- A desire to develop close relationships, and have daily communications, with the Company’s internal business clients.
- Ability to take initiative, adapt quickly to changing priorities and work with a high sense of urgency across a variety of matters.
- Distinctive problem-solving and analytical skills, combined with effective business judgment.
Responsibilities:
- Work as part of a team of lawyers in India and manage outside counsels in India and U.S. Review, markup/draft (from templates, from scratch, and from proposed agreements provided by other parties), negotiate and close commercial contracts on a global basis including master services agreements, SAAS, DPA, GDPR, SCC, BAA, vendor agreements, NDA’s, RFP’s, and supporting documents.
- Provide rapid, practical, business-oriented contract advice directly to internal business clients.
- Support business partners in negotiating fees, payment terms, deliverables, services scope, representations and warranties, IP, indemnification, limitation of liability and other commercial terms and conditions.
- Apply innovative problem-solving skills and practical business judgment to optimise benefits, minimise costs, control risks, and foster long-term business relationships.
- Collaborate with and facilitate cross-team decision-making among the legal, finance, compliance, engineering and business teams.
- Prepare and revise playbook and contract templates, using plain English rather than legalese, to help business clients negotiate low-risk contracts within defined parameters.
- Assist other attorneys and management in higher-level matters, as needed.
