Contracts Specialist
Qualifications:
- Bachelor’s degree and 5+ years of related experience and/or training.
- Legal contract writing proficiency and experience reviewing and negotiating NDAs.
- Excellent organizational, interpersonal, written and verbal communication skills.
- Proficiency with Microsoft Suite (e.g. Excel, Word and PowerPoint).
- Experience with content management/repository tools such as SharePoint and CLMS is highly desirable.
- Manage multiple concurrent tasks in a fast-paced environment and to learn, interpret, and communicate SOPs and guidelines.
- High attention to detail and superior reading comprehension skills are a must.
- Impeccable recordkeeping and record retention skills.
- Advanced degree (e.g. LLM, JD, MA, MBA) is a plus.
Responsibilities:
- Review, evaluate, and provide specific guidance concerning contracting policies and procedures.
- Analyze, interpret, and answer questions regarding Juniper’s various Sell-side and Buy-side contracts.
- Daily review, drafting, and coordination of standard and non-standard NDAs with prospective and current customers, partners or suppliers.
- Quickly grasp Juniper’s contracting philosophy re. confidentiality agreements documented in the playbook.
- Become proficient with using ThinkSmart (TAP) workflow for NDA processing – manage new requests workflow, monitor workflow through completion, provide status reports, etc.
- Apply sound judgement to escalate contract redlines as they relate to excessively broad language, unfavorable terms, etc.
- Meticulously support the global contract signature processing for a variety of documents including GTM agreements (i.e., customers and channel partners), engineering letters, RFP support letters, notices, inbound agreements (i.e., IP-transactions) and NDAs, etc.
- Maintain current documentation and SOPs updated by recording process updates.
- Monitor changes to Juniper’s authorized signature matrix and accurately apply the matrix while processing documents for signatures.
- Manage DocuSign and administration and be responsible for executed/signed contract receipt and storage on SharePoint sites.
- Support transition of signature request processes to a new Contract Management System (CLMS) – participate in training sessions, perform signature process on the new CLMS, document process impact.
- Learn about Juniper’s Contracts Taxonomy and Contract Metadata Dictionary to the extent required to perform duties efficiently.
- Update and maintain Excel spreadsheets and trackers; submit reports on a monthly and quarterly basis to the Senior Contract Specialist.
- Assist with adhoc projects as required.
- Support EMEA business hours.
