Role:
Legal Associate
Qualifications:
- Education LLB / Company Secretary / Any equivalent qualification
Experience:
- 4-6 years (1-2 years) experience in similar role (understanding of the legal function and day-to-day operations) would be preferred
- Certifications FEMA/ Securities law/ Intellectual property rights/ commercial contract management (good to have)
- Knowledge of company law, FEMA, and other evolving corporate laws
- Drafting of routine contracts, and agreements
- Commitment to ethics & high personal integrity
- Self-starter and ability to work with minimum supervision
- Good leadership, interpersonal and communication skills
- Ability to identify and resolve critical matters that require counsel views
Responsibilities:
The Legal Executive is primarily responsible for supporting the Company Secretary in compliance with laws applicable to the company and providing legal and company law advice, identifying the legal risks and implications of all the business’s transactions, be aware of the developments in laws and regulations that potentially affects the business and reinforce a culture of integrity, quality, ethical behavior, and responsibility across the company. Furthermore, the Legal Executive will provide support to other departments, such as Finance, Tax, and others, as needed, particularly with regard to compliance, audits, contracts, and dealings with external parties.
Compliance
- Review of procedures and policies to ensure the company complies with all the applicable laws
- Assisting with conducting Board Meetings and General Meetings, preparing agenda and minutes of the meetings
- Compliance and liaising with the Ministry of Corporate Affairs, Registrar of Companies, and other statutory/ regulatory authorities
- Maintaining Statutory Books/ Registers, Timely filing of Forms/ Returns(such as DIR-8, MBP-1, AOC-4, MGT[1]7, DIR-3, etc.) with ROC
- Liaising with Finance, tax and any other teams for details required for compliance activities
- Handling matters and providing assistance during statutory / secretarial / internal and other audits as applicable
Advisory
- Monitoring changes in regulatory environment and suggest appropriate actions
- Advising Finance team in activities to be undertaken to comply with changes in laws and regulations
- Assistance in vetting contracts with customers, vendors, partners and other third parties
Litigation
- Preparing submissions for litigations involving corporate matters/ company law matters
- Tracking litigation cases on daily basis and provide case management assistance
