Role:
Manager – Legal & CS
Qualifications:
• LLB + CS
• 5+ year work experience will be preferred
• Experience of handling CS and legal in a public limited company (preferred)
• Good legal and business acumen
• To be abreast with latest legal and statutory development and laws
• Excellent communication skills – written, verbal and presentation
• Strong problem solving and analytical skills
• Strong people skills and ability to work with diverse teams and stakeholders with a change-agent mindset
• Ability to differentiate between conflicting priorities and issues to identify underlying causes
• Prior experience in handling CS and legal in a public limited company (preferred)
• Demonstrated ability to manage multiple tasks and assess priorities effectively
• Consistently attribute company values in all interactions with associates and customers
• Essential computer operating skills – including MS-Office applications and most importantly an eye for detail in creative-creation.
Responsibilities:
The role holder will be responsible to act as Company Secretary (CS) of AB InBev and manage entire secretarial compliance work. To also provide support for legal advisory and contract management, drafting, review and negotiations.
Company Secretary:
• To act as Company Secretary of Anheuser Busch InBev India Limited (AB InBev).
• To organise all the Board Meetings, Extra-ordinal General Meetings (EGMs), Annual General Meetings (AGMs), etc.
• To prepare agendas for and take minutes of Board Meetings, AGM and EGMs.
• To co-ordinate with all the Directors of the Company and other stakeholders for CS works.
• To maintain statutory books of AB InBev.
• To ensure all statutory filings are done in time.
• Liaise with external regulators and advisers such as lawyers and auditors.
• Implement processes or systems to ensure good management of the organization.
• Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
Legal:
• To draft, review, negotiate and extend support for execution of the agreements and other legal documents.
• To provide issue based legal advisory to business from time to time.
• To analyse and provide advisory on industry applicable laws including but not limited to FSSAI laws, Excise Laws, ASCI, Marketing related laws, Consumer Protection Act, Intellectual property Laws, etc.
• To co-ordinate and liaise with internal stakeholders as well as external counsels.
