Senior Manager Legal & Compliance
Qualifications:
- 8+ years of relevant work experience in Legal & Compliance in multi-subsidiary conglomerate. Cross border experience in Real Estate or AIF will be given higher preference
- Excellent leadership and management skills, with a track record of building and leading high-performing legal teams.
- Highly organized, detail-oriented professional with excellent follow up skills
- Problem – solving and Leadership skills
- Strong knowledge of applicable laws, regulations, and legal trends in the industry.
- Ability to thrive in a fast-paced environment and handle multiple priorities simultaneously
- Strong business acumen with a great work ethic
- The candidate should be able to come to office every day and be willing to work on weekends as well whenever required
Responsibilities:
BHIVE is looking to hire an experienced of 8+ years qualified Legal and Compliance for its group level who would be responsible for monitoring and oversight of its multiple Companies which is into Workspace, Fintech including Fundraise, IPO, AIF and futuristic expansions to REITS, NBFC etc. The Legal Head will play a pivotal role in managing legal operations, ensuring compliance with laws and regulations, and providing strategic guidance to the executive team.
- Well verse with IPC, CPC, CRPC and general Corporate laws for business activities
- Draft, review, and negotiate a wide range of contracts, agreements, policies, and legal documents to protect the organization’s interests and minimize legal exposure.
- Conduct due diligence for fundraising efforts, ensuring compliance with regulatory requirements and mitigating legal risks associated with financial transactions.
- Oversee and manage all litigations, arbitrations, and dispute resolution processes involving the organization, ensuring effective representation and optimal outcomes.
- Collaborate with relevant teams to design and implement legal structures and processes to effectively manage AIF activities and investments.
- Lead, mentor, and manage a team of legal professionals, fostering a culture of excellence, collaboration, and growth within the legal department.
- Provide guidance, training, and professional development opportunities to enhance the team’s capabilities and effectiveness.
- Ensure compliance with all applicable laws, regulations, and industry standards, advising on changes in legal requirements that may affect the organization.
- Work closely with regulatory bodies and external legal counsel to address compliance-related matters and maintain a strong regulatory posture.
- Due-Diligence of Properties Sale/Lease Transactions
- Handling Litigations & Issuance of Legal notices
- Liasoning and co-ordinating with Regulator for AIF compliance and queries
- Liasoning with product and sales team on products and filings
- Preparation / Up-dation of Private Placement Memorandum and amendments including Trust Deed
- Liasoning for deal closure for unlisted equity transactions, Due Diligence submissions
- Monitoring of AML / FATCA compliance and its reporting
- Compliance with SEBI procedures (in assistance with external support)
- Preparation and filing of reports with SEBI as required
- Risk Management
