Principal Associate – Corporate and M&A

Qualifications:
- A five-year law degree from a reputed university with a good academic record. (Added advantage: LLM/CA/CS)
- 4-7 years of PQE in the corporate practice of a well-reputed law firm(s).
- Other skills
1. Excellent oral and written communication skills. Should be articulate and precise.
2. Analytical ability- able to analyse laws, judgements and apply the same for practical use. Strong interpretational skills.
3. Ability to interact with clients confidently and with legal knowledge on a subject.
4. Good team player, ability to train and coach younger associates.
5. Able to work within deadlines.
6. Detail oriented, willing to get to the bottom of a problem, not skim it from a height.
7. Tech savvy and able to use the computer efficiently.
8. High level of integrity, honesty and commitment to work ethics.
9. Excellent research skills, active participation in KM, writing external and internal articles and papers.
10. Conforms to Firm’s policies.
11. Contribute towards business development and work based on the business plans agreed with reporting partner.
12. Commercial acumen (business lawyer).
Responsibilities:
1. Transactional experience- M&A, private equity investments, VC funding, joint ventures, corporate commercial transactions and documentation, and strategic corporate transactions. Have either lead or been part of due diligence process, drafting transaction documentation, negotiations and has experience in handling end to end of a transaction.
2. Advisory experience- on corporate laws, regulatory or sectoral laws and compliance related. Able to interpret the law and case laws and be able to articulate their findings and write in a succinct and precise manner.
3. Well versed and in-depth understanding of corporate laws, including, Indian Contracts Act, 1872, Companies Act, 2013, Foreign Exchange Management Act, 1999, Securities Exchange Board of India (SEBI) laws, Reserve Bank of India (RBI) regulations, and other substantive laws.
4. Able to manage assignments independently. Up to date knowledge of current changes to law and jurisprudence.
