Role:
Legal Associate
Qualifications:
- Degree in law with at least 3-5 years post-qualified experience either in a law firm or as an in-house counsel.
- Admission to Indian bar is preferred. Any other bar admission may also be considered.
- Prior experience in general legal corporate work and advisory.
Experience:
- Background in drafting and reviewing contracts is a must.
- Experience in M&A and data privacy law is preferred.
- Excellent written and verbal communication skills required.
- Strong commercial sense and ability to make practical evaluations of risks.
- Must be fluent in English (written and spoken). Additional APAC languages is advantageous.
- High degree of stakeholder orientation and appropriate prioritization.
- Ability to work independently and prioritize substantial and diverse workload in challenging legal environment.
- Experience in Lending, Finance, FinTech environment and dealings with NBFC is advantageous.
- Experience in APAC jurisdictions is preferred.
Responsibilities:
- Drafting, negotiating and reviewing variety of contracts including but not limited to Asset Sale and Purchase Agreements, Share Sale Agreements, Shareholders Agreements, Subscription Agreements, Service Agreements and Facility Agreements.
- Assist with due diligence exercises in support of M&A activities occurring in APAC.
- Providing legal support and advice on various issues in company’s daily business and operations.
- Undertake new market entry projects which requires understanding of other local laws.
- Monitoring changes and developments in the legal and regulatory environment in APAC markets and provide appropriate counsel and advice to management.
- Instruct and manage external counsel including costs management.
- Co-ordinate all Intellectual Property (IP) related tasks and registrations.
- Any other ad hoc duties and assignments as may be assigned by the superior/company from time to time.
