Legal and Commercial Manager

Qualifications:
- Chartered Accountant (CA) or Company Secretary (CS).
- Minimum 2-5 years of experience in real estate legal and financial management.
- Extensive knowledge of real estate law, financial regulations, and compliance standards.
- Proficiency in drafting contracts, lease agreements, and other legal documentation.
- Experience in tax filing, auditing, and financial reporting.
- Strong problem-solving, communication, and negotiation skills.
- Ability to work both independently and collaboratively with other departments.
- Prior experience in real estate development and construction.
- Familiarity with international real estate laws and regulations.
- Experience in dispute resolution and arbitration.

Responsibilities:
- Legal Advisory: Provide expert legal guidance on matters relating to leasing, construction, and real estate projects (industrial, commercial, residential).
- Contract Drafting & Negotiation: Draft, review, and negotiate leases, construction agreements, sale agreements, memoranda of understanding (MOUs), and other legal documents as per business needs.
- Regulatory Compliance: Ensure compliance with applicable laws, including the Companies Act, ROC forms, and statutory accounting standards.
- GST & Tax Compliance: Handle GST compliance including filing of monthly and annual returns, conducting audits, and preparing responses to any notices, assessments, or inquiries from tax authorities.
- Financial & Statutory Reporting: Oversee the preparation of financial statements including Profit & Loss (P&L), Balance Sheet, and Cash Flow reports. Manage statutory accounts, audits, and compliance with accounting standards.
- Fund Raising: Coordinate with financial institutions and banks for raising funds as required for business growth.
- Risk Management: Identify potential legal risks associated with real estate transactions and provide mitigation strategies.
- Dispute Resolution: Lead and manage negotiations, mediations, arbitrations, or any other legal proceedings.
- Corporate Governance: Provide advice on corporate governance and ensure adherence to best practices.
- Audits: Oversee audits related to construction and other company operations, ensuring thorough financial management.
- Cash Flow & Reconciliation: Monitor and manage cash flow statements, ensure reconciliation of all accounts, and maintain effective control over financial operations.
