Role:
Legal Counsel Corporate & Finance
Qualification:
- Law degree from an accredited law school and admission to practice law in at least one relevant jurisdiction, preferably Switzerland.
- Minimum of 5 years of experience as a corporate and/or finance lawyer, preferably within a large multinational corporation or a reputable law firm advising corporate clients.
- Demonstrated expertise in corporate governance, employment and contract law.
- Excellent drafting, negotiation, and communication skills, with the ability to convey complex legal concepts clearly and concisely to non-legal stakeholders.
- Proven ability to work independently, manage multiple priorities, and meet deadlines in a fast-paced environment.
- High level of integrity, professional ethics, and business acumen.
- Fluency in English is required; proficiency in German is a plus.
- Experience in the energy or industrial sector is highly desirable
Responsibilities:
- Provide comprehensive legal advice and support on corporate governance matters, including board and shareholder resolutions, company secretarial duties, and compliance with relevant regulations.
- Draft, review, and negotiate a variety of complex commercial agreements.
- Manage and advise on legal aspects of financing activities, including debt and equity financing, and treasury operations.
- Act as the legal speaking partner for global projects driven by other functions, including HR and Finance.
- Manage and oversee external legal counsel relationships, ensuring cost-effective and high-quality legal services.
- Identify and mitigate legal risks associated with business operations, new ventures, and strategic projects.
- Collaborate effectively with various internal stakeholders, including business units, finance or HR to achieve business objectives while maintaining legal integrity.
- Stay abreast of relevant legal and regulatory developments impacting the energy sector and corporate law.
