Assistant Legal Counsel
Qualifications:
Law Graduate (LLB) & Company Secretary (CS) (Mandatory); Law degree from a Premier University /Law School (additional) with minimum experience of 7 to 8 years in along with exposure to compliance management.
Responsibilities:
This role requires the incumbent to guide, support the stake holders as well as manage the complete compliance activity, company secretarial work and the central repository of the company. for all the licenses and registration certificates obtained by the Company.
Compliance Management:
- Managing directly the compliances related to Companies Act, FEMA, Competition Act, EXIM policy and Legal Metrology Act and other Corporate Laws through:
- Timely adherence of the compliances and keeping the management updated of any change in the compliances & execution of compliances by filing the requisite forms/ documents/ returns with government authorities.
- Managing and assisting the stakeholders in ensuring an effective compliance culture within the company on laws pertaining to EHS, labour laws, information technology, advertisement laws, establishment laws, administrative laws and other applicable laws.
- Provide Legal advice and support various areas in the Compliance area, supporting with local Ethics & Compliance matters, Anticorruption, Competition Law, Regulatory, Digital Personal Data Protection Act.
- Ensure compliance with all applicable laws and with CIPL’s global and local policies and processes.
- Flag compliance risks in the day-to-day operations.
- Monitoring compliance systems and conducting periodic reviews to ensure their effectiveness, seeking clarification from the stakeholders on the issues, and reporting irregularities. to the management & ensuring that the regulatory patch updates are done.
- Staying informed about any industry changes and best practices and assessing potential impact of these changes on the organizational processes.
- Conducting awareness sessions for the stakeholders on any change in applicable laws/implementation of new laws, policies, and procedures.
- Maintaining documentation of compliance activities covering both legal and operational aspects.
- Consulting with external consultants as necessary to discuss and address any interpretation issues on the compliances.
- Aiding assistance to internal/external auditors in compliance review & preparing management reports on monthly basis regarding compliance operations.
- Experience in handling such as categorizing, organizing, managing, arranging personal data. and have experience in communicating internal and external person to resolve. issue related with the uses & processing of personal data.
Company Secretarial Work:
- Keeping the management apprised of any changes & providing timely resolution to the query raised by any of the stakeholders pertaining to Companies Act, 2013.
- Handling the queries raised by Canon Group Companies on new Companies Act compliances.
- Ensuring compliances under the Companies Act.
- Maintenance of statutory records and registers in accordance with the applicable provisions of the Companies Act & ensure timely filing of annual returns/ forms/ documents with the authorities to avoid any sort of penalty over CIPL.
- Assist the General Counsel in preparing the Agenda of the Meetings, preparing Minutes of the Meetings, record keeping etc.
Management of Central Repository of the Company:
- To keep a track & ensure timely renewal and update of the certificates in central repository by coordinating with the respective stakeholders.
- Legal Advisory related to Compliances of the Company: Internal Advisory on internal compliances to Business Units.
Secondary job responsibilities include:
- Assistance is General Litigation and Legal Recovery Cases.
