Qualification:
- LLB/LLM from a reputed institution with 0-3 years PQE, preferably in a law firm.
- Experience and knowledge in handling queries and routine matters pertaining to Companies Act 2013, FEMA, SEBI and NBFCs to corporate clients from diverse industries.
- Strong and clear understanding of Indian law and practices especially Companies’ Act, Indian Contract Act, and the relevant rules and regulations
- Strong communication-skills and able to represent Fox Mandal & Associates to clients efficiently.
- Ability to effectively conduct comprehensive research on complex issues and guiding juniors through research assignments.
- Proficient drafting of opinions and memos on legal issues.
- Adequate knowledge of legal database usage and usage of technology in legal work.
- Work with cross-functional teams on a range of issues, including data protection, policy, product, and regulatory issues
Responsibilities:
- Handling corporate transactions in all stages- structuring transactions, drafting/reviewing and negotiating Term Sheets, drafting/reviewing and negotiating Definitive agreements including Share Subscription Agreements, Share Purchase Agreements, Shareholders’ Agreements, Co-Founders’ Agreements, Escrow Agreements, ESOP Policies, Advisory stocks, amongst others; Conducting legal and compliance due diligence on targets, closing formalities for transactions, updating clients on regulatory and compliance requirements related to transactions.
- Conducting legal research and analysis of laws, regulations and developments and extending opinions to clients on various issues including investment advisory.
- Contribute to building efficient internal and external processes for the team and firm.
- Contribute to the business development of the team and the firm, and participate in conferences and seminars on behalf of the team and the firm.
