Qualifications:
- Degree in Law from a recognized law school in India or the US.
- Minimum of 6-10 years of experience as a practicing attorney, with a focus on US business contract review, negotiation, and patent filing.
- Thorough knowledge of US contract law and its application to cross-border business agreements.
- Strong analytical skills with the ability to assess complex legal issues and provide practical solutions.
- Strong business acumen and ability to align legal strategies with business objectives.
- Excellent communication and negotiation skills, both written and verbal.
- Proven experience in handling contract-related disputes, negotiations, and patent filing processes.
- Demonstrated ability to work independently and collaboratively in a fast-paced environment.
- Attention to detail and a commitment to maintaining the highest ethical standards.
- Experience in a multinational organization or law firm with a US presence is preferred.
- Ability to handle multiple tasks and prioritize effectively in a dynamic business environment.
Responsibilities:
The General Counsel is a mid-level executive responsible for providing legal counsel and guidance to the organization. As the General Counsel, you will be responsible for reviewing and advising on primarily US business contracts to ensure legal compliance, mitigate risks, and protect the company’s interests and supporting business operations.
Legal Strategy and Advisory:
- Develop and implement the organization’s overall legal strategy in alignment with its business objectives.
- Provide expert legal advice and guidance to senior management and other departments on a wide range of legal issues.
- Identify potential legal risks and proactively devise strategies to mitigate them.
- Stay updated on changes in laws and regulations relevant to the organization and advise on necessary actions.
Contract Management:
- Responsible for reviewing and advising on primarily US business contracts to ensure legal compliance, mitigate risks, and protect the company’s interests.
- Ensure compliance with contractual obligations and protect the organization’s interests.
- Collaborate with internal stakeholders to standardize contract templates and improve contract management processes.
Compliance and Regulatory Affairs:
- Monitor and ensure compliance with applicable laws, regulations, and industry standards.
- Develop and implement compliance programs and policies to mitigate legal and regulatory risks.
- Conduct internal investigations and audits to identify compliance issues and recommend corrective actions.
Litigation and Dispute Resolution:
- Manage and oversee the organization’s litigation matters, including coordinating with external legal counsel.
- Evaluate legal claims and advise on appropriate strategies for dispute resolution.
- Represent the organization in legal proceedings, including negotiations, settlement discussions, and court appearances.
Corporate Governance and Ethics:
- Provide guidance on corporate governance matters and ensure compliance with relevant laws and regulations.
- Develop and enforce ethical standards and policies across the organization.
- Advise the board of directors and senior management on governance matters and best practices.
Intellectual Property:
- Manage intellectual property matters, including trademarks, copyrights, patents, and trade secrets.
- Oversee the filing and maintenance of intellectual property registrations.
- Protect the organisations intellectual property rights and defend against infringement claims.
Risk Management:
- Identify legal and operational risks and develop risk mitigation strategies.
- Work closely with other departments to establish effective risk management processes and procedures.
