Role:
The organisation is looking for dynamic candidate for its Secretarial Compliance department.
Job Location:
Lower Parel, Mumbai.
Responsibilities:
1. Ensure all secretarial compliance for Listed company including:
- To prepare Agenda, Minutes and Resolutions for the meeting of Board, Shareholders, Audit Committee, CSR Committee, Risk Management Committee, NRC Committee, ID meeting and AGM held on time to time as applicable.
- To prepare various notes for the top management, Case for opinion, resolutions etc.
- To handle entire ROC filing
- To prepare Notice, Director Report, shorter notice, and extract of the Annual Return
- To respond to RoC, RBI on various queries on time to time.
- Documentation for availing of facilities from Bankers and filing of necessary Charge forms with ROC.
- Compliance pertaining to Significant Beneficiary Ownership-SBO
- Drafting of Annual Report
2. Stock Exchanges Disclosures and responses
- Compliances for promoter inter-se transfer of shares of listed companies
- Liaison with Stock Exchange and ensuring all SEBI Compliance including SEBI LODR, SEBI SAST, SEBI PIT etc.
- Disclosures for pre and post trade approval from designated officer
- Trading during window closure
- Annual Promoter disclosures
3. Assist in Secretarial Audit and documentation for statutory Audit.
4. Handling the Compliance related work of the Listed Companies.
5. Should possess good knowledge of SEBI regulations and any other Statutory regulations pertaining to the Listed Companies.
6. Maintaining, preparing and filing necessary documents, registers, reports and returns as required under the Companies Act and various other statutory acts, rules and regulations.
7. Liaising with government departments, consultants, RTAs, Depositories and Stock Exchange Departments.
8. Researching background information related to legal and secretarial issues & helping prepare legal documents.
9. Preparing and filing of necessary documents/returns.
10. Drafting of Policies and frameworks of the Board including setting out procedures for implementation.
Requirements:
Qualification: CS + LLB (Mandatory)
Experience:
5+ Years.
