Role:
Legal Associate
Qualification:
- Bachelor’s or Master’s degree in Law from a reputable university or law college.
- 3+ years of relevant legal & secretarial experience, preferably in a corporate environment.
- Qualified CS is an added advantage
- Proficiency in drafting Notices, Minutes, Contract drafting and negotiation.
- Strong understanding of applicable laws and regulations.
- Excellent written and verbal communication skills.
- Ability to work independently, managing multiple tasks concurrently.
- Analytical and problem-solving abilities.
Responsibilities:
Company Secretarial Responsibilities:
- Responsible for all secretarial matters under the Companies Act 2013, FEMA, 1999 and other related Acts, including but not limited to
- organizing and managing board meetings, general meetings and committee meetings and follow-ups on appropriate actions for the board, committee and general meetings.
- maintaining statutory registers and secretarial records
- preparing documents such as notices, minutes of meetings and other documents required for meetings.
- timely filing of forms with ROC, RBI and any other regulatory bodies
- Advise the board on corporate governance best practices and statutory compliance requirements.
- Liaising with NSDL, CDSL, RTA, etc on a regular basis.
Contract Management:
- Review, draft, and negotiate contracts with clients, vendors, and other stakeholders, ensuring alignment with relevant laws and regulations.
Legal & Secretarial Compliance:
- Develop and maintain a robust legal & Secretarial compliance program to ensure adherence to applicable laws, regulations, and internal policies.
- Stay updated on legal developments including changes under the Companies Act and other Acts, assess their impact, and provide guidance to the organization.
Risk Mitigation:
- Identify potential legal and regulatory risks, proactively assess their impact on the organization, and implement effective risk mitigation strategies.
Policy Development:
- Develop and implement internal policies and procedures to enhance compliance and legal governance.
Audits and External Reporting:
- Conduct regular audits to identify and address process issues, ensuring legal and regulatory compliance.
- Assist in providing necessary information and documentation for external audits, ensuring a seamless audit process.
Training and Knowledge Management:
- Train employees on compliance policies and procedures, fostering a culture of adherence.
- Keep abreast of regulatory changes and provide guidance to the organization on legal and compliance matters.
