Role:
Legal Contract Drafting Attorney
Qualifications:
- Bachelor’s degree in Law
- Minimum 4-7 years post qualification experience
- Previous experience with industrial/manufacturing companies preferred but not required
- Previous in-house experience preferred but not required.
Responsibilities:
- Reviewing, summarizing, drafting, and negotiating low to high complexity commercial contracts subject to laws of various jurisdictions, including Services Agreements, Procurement Agreements, Equipment Leases, Manufacturer Agreements, Distributor Agreements, Software Licensing Agreements, NDAs, and terms and conditions of purchase/sale.
- Contracts may be prepared from internal template forms or negotiated from template forms provided by customers/suppliers.
- Prepare contracts from internal forms and redline contracts from customers/suppliers to align with the company’s documented risk mitigation strategies, while also exercising independent judgment to assess legal and commercial risks.
- Working on the contracting process from contract drafting to execution and post execution per requirements, including advising and soliciting input from internal stakeholders on contract terms and conditions that may affect their respective business areas
- Proficiency in reviewing, drafting, and suggesting alternatives to contractual clauses like – Term, Terminations, Renewals, Payment terms, Pricing.
- Purchase obligations, Price match clause, non-compete clause, Assignment and change of control, Exclusivity, Indemnification, Limitation of Liability, Warranty, Transfer of title/risk of loss (including familiarity with INCOTERMS 2020), Insurance, Intellectual Property, Governing Law, Jurisdiction
- Negotiating the clauses in contracts to ensure adherence to legal regulatory compliances.
- Finalization of contracts by discussions with internal and external stakeholders.
