Qualifications:
- qualified as a lawyer within the last 2 years (i.e. NQ-2 years PQE);
- a demonstrated track record of corporate deal experience, with a strong preference for experience with venture capital deals (more general private equity, funds, or investment experience also a plus);
- experience in drafting, reviewing, discussing, and negotiating investment documents with other lawyers, founders, and investment professionals;
- excellent at project management skills and is well organised; and
- some familiarity with the structure and management of investment funds, for example from completing a seat, or a period of experience in an investment funds practice within a law firm would be excellent (although not necessary).
Additionally, the following are not essential but will help to make candidates stand out:
- experience in cross-border, international legal, tax and regulatory issues, particularly with French and/or US companies or transactions;
- proficiency in French language; and
- a love of learning and adapting to changing needs or circumstances.
Responsibilities:
- Programme Delivery and Pre-Seed Investment Cycle: You’ll have the opportunity to interact with the site General Managers, Talent Investors, and founders in our London, Paris and New York programmes, delivering workshops on EF’s investment terms and guiding them through other legal aspects of their entrepreneurship journey. You’ll also prepare EF’s programme offer letter on a cyclical cohort basis, for the teams to use in recruiting new founders for the programme.
- At the end of the programme, you will then help to manage EF’s pre-seed investment cycles in London, Paris and New York from end to end. You will work closely with the Senior Legal Counsel, Legal Operations and external legal partners to update EF’s investment documents from time to time, and work alongside other internal teams and our external service providers to manage the execution process.
- Follow-on Investments and Portfolio Engagement: A central part of the role, and one that is ongoing throughout the programme cycles, is the management and protection of EF’s minority shareholder position in our 700+ company portfolio. This involves managing general enquiries as well the inbound deal flow when EF’s portfolio companies raise capital subsequent to EF’s initial pre-seed investments. You will review investment documents and advise and consult with EF’s investment managers and Executive Committee. In this capacity, you will also collaborate across the Finance and Fund Operation functions.
- Management of investment funds: The EF group includes a number of different fund vehicles for deploying venture capital. Alongside the General and Senior Counsel, the Finance team, and the Fund Operations team, part of this role will be to assist in managing the full lifecycle of those funds, from raise to close and beyond.
- Commercial Contracts and general advisory: You will be expected to advise the business on commercial contracts, key strategic partnerships and other general legal advisory matters. This will involve working with any and every section of the EF business.
