Legal Counsel
Qualifications:
- Must be a LLB and ACS/ FCS with 5 to 8 years’ of experience, preferably in Services Sector IT or ITES MNC.
- Experience in technology company will be advantageous.
- Proficient knowledge of Contract Act, Sale of Goods Act
- Intermediate knowledge of IPR laws, Arbitration Act
- Intermediate to advanced knowledge of Industrial Disputes Act, Industrial Employment (Standing Orders) Act, Labour Law Codes, State labour laws and rules
- Methodical and structured approach

- Willingness and ability to learn, apply and relate concept to real world situation and implement
- Integrity
- Analytical, Loves reading
- Good negotiation skill
- Excellent communication skill, both verbal and written
Responsibilities:
- Vetting, negotiation and conclusion of buy-side agreements such as in-bound software license agreement, office lease agreements, non-disclosure agreement, and routine agreements required for operating a services company, amendments, renewals and termination
- Legal research experience including search of primary resources and precedents in online subscriptions such as SCC Online, LLR
- Experience is M&A projects preferred, but not a must.
- Hands-on experience of corporate secretarial compliances of privately held company in India, namely, sending of notice of board and members meeting, conducting board and members meeting, preparation of minutes of board and members meeting, event-based and period-based filings with RoC
- Compliance advisory in the field of labour laws
- Providing brief to law firm and providing inputs to litigation counsel
