Role:
Legal Counsel
Qualifications:
- Legal Expertise: Possess a law degree from a recognized Indian university and be admitted to the bar in India. Demonstrate strong knowledge of corporate and commercial law, with experience in contract drafting and negotiation.
- International Exposure: Have a minimum of 3-5 years of experience working with cross-border legal matters, preferably in a multinational corporation, law firm, or legal consultancy. Familiarity with the legal landscape of multiple jurisdictions is highly desirable.
- Analytical Skills: Display excellent analytical and problem-solving abilities, with the capacity to identify legal risks across different countries and propose effective solutions. Attention to detail and strong drafting skills are essential.
- Communication and Collaboration: Possess exceptional written and verbal communication skills to effectively communicate complex legal concepts to both legal and non-legal stakeholders. Collaborate effectively with cross-functional teams and external partners in diverse cultural settings.
- Adaptability: Thrive in a dynamic and rapidly growing organization, with the ability to multitask, prioritize, and meet deadlines in a fast-paced, multinational environment.
- Language Proficiency: Fluency in English is required. Proficiency in additional languages relevant to the countries of operation is a plus.
Responsibilities:
- Legal Advisory: Provide expert legal advice and guidance on a wide range of legal matters, including corporate law, commercial contracts, regulatory compliance, intellectual property, data protection, employment law, and dispute resolution across multiple jurisdictions.
- Contract Review and Negotiation: Review, draft, and negotiate various commercial agreements, such as client contracts, vendor agreements, partnership agreements, and licensing agreements. Ensure compliance with local laws and regulations while minimizing legal risks
- 3. Cross-border Compliance: Stay abreast of legal and regulatory requirements in the countries where we operate. Develop and implement compliance programs, policies, and training initiatives to ensure adherence to local laws and regulations.
- Intellectual Property: Manage intellectual property matters, including trademark registration, licensing, and enforcement across different jurisdictions. Conduct trademark clearance searches and handle any infringement issues.
- Data Protection and Privacy: Advise on data protection and privacy matters, including data processing agreements, privacy policies, and international data transfers. Ensure compliance with local data protection laws, such as the Indian Data Protection Bill and international standards like GDPR.
- Employment Law: Provide guidance on employment-related matters, including employment contracts, terminations, employee benefits, and compliance with local labor laws in various countries.
- Risk Assessment and Mitigation: Identify legal risks associated with cross-border operations, analyze their potential impact, and provide risk mitigation strategies. Collaborate with cross-functional teams to implement risk management processes and policies.
- Dispute Resolution: Handle legal disputes across different jurisdictions, including pre-litigation strategies, negotiation, and settlement discussions. Coordinate with external counsel when required.
- Legal Research and Compliance: Conduct legal research, monitor local legal developments in countries of operation, and assess their impact on the organization. Proactively identify legal risks and provide recommendations for compliance.
- Fundraising and M&A: Provide legal support for the company’s worldwide acquisitions, inbound investments, and other strategic transactions. This includes assisting relevant business teams with drafting, preparing and negotiating definitive agreements, coordinating the closing across multiple jurisdictions, and integrating the resulting business.
