Legal Manager
Qualifications:
- Experience of statutory compliance.
- Proven experience as a Company Secretary and Legal Counsel in a reputable organization.
- Excellent knowledge of corporate governance, legal regulations, and financial compliance practices.
- Strong negotiation, analytical, and problem-solving skills.
- Ability to communicate complex legal matters effectively to non-legal stakeholders.
- Demonstrated leadership abilities and experience in managing teams.
- High level of integrity, confidentiality, and ethical conduct.
- Good command over MS-excel and power point presentation.
Responsibilities:
Company Secretary:
- Candidate should have membership with the Institute of Company Secretaries of India and act as whole-time Company Secretary for the Company
- Oversee all corporate governance matters, ensuring compliance with relevant laws, regulations, and internal policies.
- Prepare and maintain statutory records, minutes, and documentation for board meetings, shareholders’ meetings, and related events required under relevant provisions of the Companies Act.
- Act as a key liaison between the company and regulatory authorities, ensuring timely filings and adherence to reporting requirements.
- Monitor changes in corporate laws and regulations, providing timely updates to executive management.
- Support the Board of Directors and executive management by facilitating effective communication and coordination.
Legal Counsel:
- Provide expert legal advice and counsel on a wide range of legal matters, including contracts, agreements, intellectual property, employment, and compliance.
- Review and negotiate various contracts and agreements with clients, vendors, and partners, safeguarding the company’s interests.
- Conduct legal research to stay informed on relevant legal developments and industry best practices.
- Manage and coordinate external legal counsel for specialized legal matters and litigation cases, when required.
- Assess potential legal risks and liabilities and develop strategies to mitigate them.
- Financial Compliance:
- Collaborate with the finance team to ensure compliance with financial regulations, reporting requirements, and accounting standards.
- Assist in the preparation of financial statements, disclosures, and other financial reports as needed.
- Work with internal auditors and external regulators during audits and examinations to ensure compliance and address any findings.
Policy Development:
- Contribute to the development and implementation of corporate policies and procedures related to finance and legal matters.
- Advise management on the legal implications of business decisions and potential policy changes.
Team Leadership and Development:
- Lead and mentor a team of finance/legal professionals, fostering a collaborative and supportive work environment.
- Provide ongoing guidance, training, and professional development opportunities for team members.
