Role:
Senior Associate – Legal Affairs
Qualifications:
- Minimum 3-5 years of experience of working as an M&A lawyer either at a law firm or in an in-house legal team
- Experience working on mergers, acquisitions, joint ventures and private equity. IPO experience preferred
- Strong knowledge of corporate and securities laws, regulations, and practices related to M&A transactions
- Strong legal research and negotiation skills
- Excellent strategic, research, and quantitative, analytical skills to exercise judgment and discretion to opine on compliance/ legal issues effectively
- Ability to break down complex legal issues for the business and commercial teams to understand the associated risks and take correct informed decisions
- Experience in contract drafting, review, and negotiation as an in-house counsel
- Ability to proactively on multiple projects under tight deadlines while maintaining a commitment to quality
- Exceptional organisation and time management skills
- Strong interpersonal skills
- Flexibility and experience working in a high-pressure startup environment
- Proactive, resourceful, sense of urgency, and highly self-motivated
- Willingness to travel across India for work
- Bachelor’s/Masters’ degree in Law from a reputed law school
- 3-5 years of relevant experience
Responsibilities:
- Provide support on all aspects of M&A transactions, including deal structuring, due diligence, documentation and closing
- Draft, review, and negotiate a wide range of transactional documents, including term sheet, share purchase agreement, share subscription and shareholders agreement, merger scheme and non-disclosure agreements
- Engage with other in-house departments including tax, finance and accounting, secretarial, HR, and IT to ensure completion of due diligence and seamless execution of M&A transactions
- Advise on FEMA, competition law and securities laws applicable on M&A transaction
- Work with domestic / international law firms
- Draft, review and negotiate commercial contracts, including service agreements, marketing agreements, employment & staffing services agreements, engagement letters, non-disclosure agreements, software development agreements, lease agreements, etc
- Research and prepare note on Indian and global laws applicable on business
- Handle legal matters related to operations, employment and internal support functions
