Qualifications:
Must possess excellent analytical abilities with keen eye for detail. In addition the incumbent must possess excellent interpersonal, communication and problem solving skills. Outstanding compliance and legal skills Excellent analytical, judgment and prioritization skills. Ability to work with regulators, authorities as well as senior management and corporate functions in a result-oriented, high-pressured environment. Ability to make timely decisions and identify risks and mitigation strategies. Exceptionally strong spirit of teaming.
- 12- 15 years of experience in the secretarial & corporate legal function of a large organization, preferably with US/India structure
- Experience in managing internal as well as external compliances, including Investor and corporate law compliances.
Responsibilities:
- Maintaining statutory books including registers of members, directors, secretaries and shareholders with their past and present shareholdings
- Organising, attending and maintaining minutes of board meetings, audit committee, CSR committee and annual general meetings (AGMs)
- Preparing a compliance calendar and taking care of all Companies Act, FEMA and other relevant compliances and filings
- Facilitating and filing annual returns and secretarial audit reports as well as ROC compliances
- Supporting in M&A and fundraising related due diligence
- Experience with NCLT and related aspects
- Reviewing, vetting and advising on various corporate legal issues relating to the company, its investee companies and/or group/affiliate companies in India or abroad
- Creating a stable compliance environment for Xerox
- Effectively dealing with external regulators like RBI, SEBI, ROC, DPPIT, advisors, auditors, NCLT, lawyers, etc.
- To provide high level of legal advice, on contentious and complex issues relating to employment laws, FDI policy, company law and M&As etc.
- Conduct legal research on various issues and provide advice and legal opinions pertaining to various laws, regulatory, govt affairs, commercial, business company law and contractual issues and matters;
- Advising and resolving foreign exchange laws and FIPB related issues and Implement policies
- Advise on HR & compliance issues;
- Provide education, training and raising awareness levels of employees on legal issues.
