Role:
- They are looking for Legal Associate for our Indian entity Tvarit Solutions Private Limited (Wholly Owned Subsidiary of Tvarit GmbH) to start our in-house legal team. Reporting to the executive team, the position represents an exciting opportunity to join a fast-paced, dynamic hyper-growth company and serve as the in-house legal expert.
- The successful candidate will work on many different legal areas including customer and vendor contracts, licensing agreements, employment matters, fundraising transactions, product compliance, statutory compliance, immigration, tax law, and more.
- The ideal candidate has a strong background in commercial contracts but wants to take a broader role to step toward a General Counsel position.
Key Responsibilities:
- Develop and execute the company’s overall legal strategy.
- Create a handbook on all essential legal topics for the company and conduct workshops/training wherever necessary to ensure successful compliance.
- Manage legal and corporate governance matters including board materials, consents, minutes, and associated processes and policies
- Draft, review, and negotiate with customer, partners, and vendor agreements (including master service agreements, statements of work, change orders, marketing agency agreements, employment and staffing services agreements, audit services agreements, software development agreements, leasing agreements, and other commercial agreements.) in a wide range of IT contracts along with of other industries.
- Coordinating with cross-functional teams with respect to contract review as appropriate.
- Post signing contract management, including amendments to existing contracts with vendors and customers
- Monitor legal risks in the contract documentation and advise the business accordingly
- Supervise outside counsel for specialized issues that cannot be handled in house
- Drive matters on intellectual property, including filing of patent applications, trademark registration, IP licensing agreement, Confidentiality and Non-disclosure agreements,
- Identify privacy issues, conduct privacy impact assessments, and advise on privacy compliance requirements (e.g., India laws and GDPR exp is a plus)
- Draft Privacy Policy and Terms of Use for all apps/ websites.
- Maintain a repository of legal documents for all activities of the company (e.g., commercial contracts, dispute resolution, statutory regulations, employment agreements)
- Determine ways to streamline and automate legal processes at the company
- Draft, review, and negotiate all transaction documents related to fund-raising such as non-disclosure agreements, subscription agreements, shareholders agreements, and amendment agreements.
- Assist in closing and post-closing formalities under fund-raising (including corporate procedural compliances)
- Draft, review, and negotiate documentation related to corporate restructuring (bonus issuance/stock split, ESOPs, buy-back) and issuance of any security or instruments (equity, CCPS, warrants)
Your background:
- Bachelor’s/Masters’ degree in Law from a top-tier law school in India.
- 5+ years of experience in end-to-end contract management and advisory work in the IT industry, with a law firm, or as an in-house counsel. SaaS software company experience is a plus.
- Excellent knowledge and in-depth understanding of corporate laws and procedures.
- Experience in commercial contracting and intellectual property laws (including trade- marks and patent filling).
- Experience in handling international clients and exposure to international laws.
- Ability to lead negotiations and collaborate with stakeholders in the structuring new business products from a legal standpoint.
- Adaptable, flexible, and pragmatic with a solution-driven approach.
- Willing to work in the digital and information age and should have preparedness to use technology tools.
- Knowledge and understanding of open-source licensing is a plus
- Expertise in identifying & mitigating legal risks in all areas of business operations.
- Familiar with data protection, data privacy and cyber security laws of India and GDPR is a plus.
- Articulate and possess good communication and drafting skills.
- Ability to perform multi-task and be flexible to work in a fast-paced environment and meet tight deadlines.
