Currently, they are working to strengthen the global supply chain so that the medicines people rely on are available when needed and work as expected.
Role:
Assistant Counsel – Global Contracts
Qualifications:
- A.LL.B (Hons) or a Bachelor’s degree in law from a National Law School or a reputed law college;
- 2-3 years – In-house experience handling contracts
- Prior experience in contract management, contract negotiation, legal drafting and writing;
- Detail oriented, good research, interpretation and analytical skills,
Responsibilities:
Contract Management
- Act as the single point of contact for USP’s Global Contract Management system.
- Prepare contractual agreements using current research methods and a knowledge of a client’s needs and ability to fulfill its requirements.
- Review contract terms and conditions to verify that they are in compliance with company policies and all applicable central, federal and state regulations.
- Collaborate with the Legal Counsels, Paralegals and functional teams and manage the Global Contracts and Risk goals of the legal division.
- Effectively manage the Contract Management System (CMS) and act as the administrator in accordance with the roles and responsibilities set out in the relevant SOPs.
- Act as a liaison between USP’s Counsels and stakeholders for review and management of contracts, and legal standards work.
- Maintain contract databases in the Company’s CMS Tool, monitor contract lifecycle, determine necessity for amendments or extensions of contracts and compliance with contractual obligations, as required.
- After review of contract, verify that both parties to the contract have fulfilled their obligations vis-a- vis obligations and there are no responsibilities outstanding. Ensure that Contract SOPs are followed during the review process of a Contract.
- Assist in review, drafting and negotiation of contracts including but not limited to, non-disclosure agreements, service agreements, purchase agreements, and licensing agreements etc., for regional and global sites.
- Develop standard agreement templates for USP as and when required.
- Work with the Global Legal Affairs team in implementing a contract management system at site.
- Interact with Global Legal Affairs and Global Legal Standards teams for problem solving, training and other system related requirements.
- Assist in developing and implementing a contracts SOP for site;
- Any other contractual or legal work as may be assigned from time to time;
Support Global Legal Affairs
- Support Global Legal Affairs in entity record management;
- Provide support in respect of Global Copyrights and Trademark management;
- Any other activity that may be identified from time to time;
- Support Global Data Privacy implementation as and when needed;
General legal matters.
- Act as the system administrator for USP India’s e-compliance system.
- Manage, review, report and help stakeholders in compliances listed in the system.
- Keep abreast with state and central regulatory updates and ensure compliance with these regulations and changes.
- Assist in providing legal research, legal writing and support site activities;
- Aid in any other legal matters, as may be required from time to time.
