Job Summary:
- Lead – Secretarial/Senior Lead – Secretarial
Job Purpose:
“This position is open with Bajaj Finance ltd.” Assist the Company Secretary of BFL in discharging the functions in accordance with the legal provisions
Job Duties & Key Responsibilities:
- Preparation of draft schedule of meetings considering the requirements of the entire group in coordination with other CS CFO and directors’ office;
- Conduct of meetings of the Board and its Committees;
- Drafting of agenda considering the observations of regulators legal requirements and that of various functions;
- Preparation of minutes of meetings in detail as per the expectations of regulators;
- Coordinating with Senior Management and other functional heads in understanding their requirements for board related matters and action points at Board level; and
- Attending to directors’ queries regarding meetings and agenda; (B) Towards Shareholders:
- Monitoring and coordinating with KFin with respect to following: Service quality of KFin; Service Standards of KFin; Review of documentation sought from the shareholders; And process improvements (C) ESOPs:
- Overseeing the implementation of ESOPs administration;\
- Advising on legal aspects;
- Introducing process improvements (D) Shareholder Communication:
- Vetting of Annual report;
- And all major communications published in media etc;
- Benchmark disclosures with other companies (E) Advisory:
- Examine the legal provisions and advise the functions business and other stakeholders;
- Take lead in group CS meet with in bringing to the fore upcoming areas and burning issues; with suggestions; (F) People related:
- As and when mandate comes identify and shortlist suitable candidates for at entry and semi-entry levels.
- Hire CS trainees (G) Group related tasks:
- Assist in common practices and documentation to be aligned across the group.
Required Qualifications And Experience:
- a) Qualifications – Company Secretary
- b) Work Experience –six/seven years
- c) Good communication -written and verbal;
- d) Critical evaluation skills;
- e) Thorough knowledge of Companies Act and LODR;
- f) Taking ownership of the tasks in hand;
- g) Attention to details and meticulous planning;
- General awareness in the latest developing practices
