Role:
Legal Counsel II
Qualifications:
- LLB from a reputed law university
- Must have Experience in general corporate and commercial advisory research and contract review pertaining to day to day business operations as well.
- At least 4 years prior experience in M&A
- Must have (i) worked on VC and M&A; transactions, including conducting due diligence, drafting and reviewing transaction documents, and assisting with closing transactions, and (ii) have a good understanding of the provisions of the Companies Act and FEMA & the FDI policy.
Responsibilities:
- Assisting with fundraising, M&A; and other corporate transactions are undertaken by the company
- Conducting legal research to assist with deal structuring
- Drafting, reviewing, assisting with the execution of share subscription agreements, share purchase agreements, shareholders’ agreements, and other relevant transaction documents.
- Undertaking basic due diligence
- Coordinating with external firms on various assignments
- Advising internal stakeholders on various questions around corporate structure and process of the Company
